All quotations, proposals, and service agreements are subject to acceptance by both parties. Project-specific agreements may contain additional terms that supplement these Terms and Conditions. Where there is a conflict between a signed agreement and these Terms, the signed agreement shall prevail. Any scope changes requested after a proposal has been accepted may result in revised fees, timelines, or deliverables.
Unless otherwise agreed in writing, all fees are quoted in Canadian dollars (CAD) and applicable taxes are additional.

For one-time services, including but not limited to audits, consulting sessions, strategy development, workshops, photography, videography, website audits, website creation, and standalone deliverables:
Advertising budgets and media spend are separate from Blacktail Strategies' service fees. Clients are solely responsible for all advertising costs charged by third-party advertising platforms, including Meta, Facebook, Instagram, TikTok, LinkedIn, Google, or other advertising providers. Unless otherwise agreed in writing, advertising accounts must be funded directly by the client.
Invoices not paid by the due date may result in suspension of services. Blacktail Strategies reserves the right to withhold deliverables, reports, content, strategies, files, or other work until all outstanding amounts have been paid in full.
Fees paid for services already performed, consultations delivered, strategies prepared, or work completed are non-refundable except where required by applicable law.
Clients agree to:
Clients are responsible for providing timely feedback, approvals, access credentials, content, and other materials required for project completion. If client feedback, approvals, content, access credentials, or required materials are delayed by more than fourteen (14) days, Blacktail Strategies reserves the right to adjust project timelines, delivery dates, and project schedules accordingly.
Each deliverable includes a set number of revision rounds, specified in your proposal or service agreement. Unless otherwise agreed in writing, this is typically:
A "round" means one consolidated set of feedback gathered and submitted together. Additional revisions beyond the rounds included in your agreement, edits requested after a deliverable has been approved, or changes that alter the original creative direction, concept, or scope (such as re-shoots or new concepts) are considered additional work. These may be billed at our standard hourly rate or as a flat fee quoted and approved in advance before the additional work begins.
Upon full payment of all outstanding amounts, ownership of final approved deliverables created specifically for the client transfers to the client unless otherwise agreed in writing.
Blacktail Strategies retains ownership of all pre-existing intellectual property, including templates, methodologies, processes, frameworks, internal tools, and know-how.
Some deliverables may include third-party licensed materials, including but not limited to stock photography, stock video, music, fonts, software assets, or other licensed content. The client's rights to use such materials are subject to the applicable third-party licence terms. Blacktail Strategies does not grant ownership of third-party licensed content beyond the rights provided under those licences.
Blacktail Strategies may display completed work, project descriptions, non-confidential materials, publicly available content, and campaign results in portfolios, case studies, social media, presentations, proposals, and marketing materials unless otherwise agreed in writing.
Our services may involve third-party platforms, including Meta, Instagram, Facebook, TikTok, LinkedIn, Google, email marketing platforms, and website platforms. We are not responsible for:
Clients remain responsible for complying with the terms and policies of the platforms they use.
Both parties agree to keep confidential business information, trade secrets, strategies, financial information, marketing information, and other non-public information confidential and not disclose such information to third parties without prior written consent, except where disclosure is required by law. This obligation survives the termination or completion of the business relationship.
Marketing and business outcomes depend on factors beyond our control. We do not guarantee revenue growth, lead generation results, advertising performance, engagement levels, follower growth, search engine rankings, or business outcomes. Past performance is not indicative of future results.
Either party may terminate a service relationship in accordance with the applicable service agreement. Where no separate written agreement exists, either party may terminate ongoing services by providing thirty (30) days' written notice. Unless otherwise specified in a written agreement, recurring monthly service plans automatically renew on a month-to-month basis until terminated in accordance with these Terms or any applicable service agreement. Clients remain responsible for payment of all services performed and expenses incurred before termination.
To the fullest extent permitted by law, Blacktail Strategies shall not be liable for indirect damages, consequential damages, special damages, loss of profits, loss of revenue, loss of data, or business interruption. The total liability of Blacktail Strategies relating to any claim shall not exceed the total fees paid by the client for the services giving rise to the claim during the six (6) months immediately preceding the claim. Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
You agree to indemnify and hold harmless Blacktail Strategies from claims, losses, damages, liabilities, costs, and expenses arising from information or materials supplied by you, your breach of applicable laws, your misuse of our services, or your infringement of third-party rights.
We do not guarantee uninterrupted access to the website. The website may be modified, suspended, or discontinued at any time without notice.
Your use of this website is also governed by our Privacy Policy.
These Terms and Conditions are governed by the laws of the Province of Québec and the applicable laws of Canada. Any dispute shall be submitted to the courts of Québec.
